A note about licensing

How to use intellectual property to grow your business?

One way is to license others to use your intellectual property like patents, copyrights, designs and even trademarks. You may also license your trademark if you are not using it yourself, or you may want to retire from doing business.

If you are the owner of intellectual property (IP), and you do not have the means to produce a product out of it, you can license it out to other businesses who might want to diversify into other products – assuming that they have the means to do so. In this way, you will obtain revenue by you allowing the licence holder to use your IP, manufacture, distribute or sell products and services based on your intellectual prowess. You will then get paid royalties - either as a percentage of the income they generate from your IP, or as a fixed or variable fee. Likewise if you want to use someone's license, then you will need to pay royalty.


Why you should license your intellectual property

For intellectual property (patent) owners, the licensing model offers the following advantages:

Commercialising your product – you will need money to do so and it is also a long journey. An alternative is to license it to some other entity that has the money whom (licensee) will bear the costs of manufacturing, distribution, packaging, marketing and much more – since it is a long journey.

Now, we know that it is best if we can go to market as soon as possible as there will be others who might want to break in with their similar products – so it is best to license it to someone who have the capability. However, if you grant the license to others to sell it, then you are also going to compete with them if you decide to make it yourself – with a different brand of course if your licensee permits.

Granting a license to another from a different territory might help you to break into new markets that you are not able to – so it is a way of broadening your market. Some markets are closed to imports and some do put a tariff to ward off imports – and licensing is a way to thwart off barriers.

The other benefit of giving out license is that you will keep ownership of your IP - Licensing allows you to give suppliers, competitors or complementary businesses certain rights over your patent while receiving royalty income at the same time which is great - sort of a win win strategy.


Types of licences available:

• Sole licence – also known as an exclusive licence, with the caveat that you have the right to use your intellectual property yourself. Sole licences can be safer bet as you are not completely relying on a single licensee.

• Exclusive licence - this is tantamount to give the licensee to someone to use your IP. It also means that you will have no more rights yourself.

• Non-exclusive licences - sounds just nice because you can grant these to as many people as you think fit. There is however an issue with manageability when there are too many licenses – remember that you would want to know how much they produce in order to collect the royalties.


A successful out licensing will also depend on other issues such as whether you will allow the licensee to produce and market, or how the royalties are calculated, or whether there is any issue on territories, or whether you grant your licensee to do sub-contracting in which case it would be difficult to manage.

A smart contract is basically a computer program code that can facilitate, execute and enforce a contract by itself - the beauty of contractual terms are pre-programmed and transparent. Administrative cost are reduced. Smart contracts connecting IP licensee and IP licensor can be self-executing and unambiguous. IP owners and licensee can use blockchain platforms to better control and exploit their IP works, improve efficient remuneration. The impact on IP-rights management via digital environment is great as it make the process more transparent, and cutting out intermediaries.
